windows xp installation error

when i try to install xp in my new pc i get this error even before any files get copied

bad_exhandle

and i have to restart the pc

next i get an error saying

irql_not_less_or_equal

i have an athlon xp 1800 processor
256 ram
40 gb hard drive
and new sis motherboard

windows millenium seems to install fine but i want xp

any help would be grateful
