Legally speaking, you can install a copy of an OS on one computer only at a time. Another problem with XP is that it must be activated and you cannot have it activated on two computers at a time.

I don't have XP so someone that does can explain it better than I. I suggest purchasing an XP upgrade Cd for your ME.

If you do buy an upgrade XP disc, I'd strongly recommend that you don't do it as an upgrage, but as a clean install. I've had problems upgrading to XP over a dirty 98/ME situation. Get all your stuff that you want to save off the machine, put the XP upgrade disc into the tray, shut-down & restart. Proceed as if it was a "full" disc. You'll be prompted to insert a "qualifying product" (your ME disc) into the tray. And then you'll be prompted to put in the XP disc back in. This way, you'll get a nice, clean install of just XP, as if your PC had no memory of ME.

You will need to buy either another copy of xp or another lic to use xp. I would not upgrade a win9x system to an nt based os. Those upgrades do not generally work well. The only "upgrade" I do is win2k>XP Pro. That ususally works ok.

Note you can buy an "Upgrade" disk and do a full install. During the setup process you will be asked for your qualifying product. You put in the ME disk and setup checks it and then continues with the install. If you have a full version of ME, that would be the cheaper way to go. You will not be able to use a recovery cd that comes with many computers to qualify for the upgrade.
