OS 9 Outlook Express to OS X Apple Mail

We are upgrading computers from OS 8.6-9.x to OS X 10.3. We blow away all email and address books every time! (Hey, we're consistent.) What do we need to do BEFORE we upgrade to Panther and AFTER to retain both messages and address books from OE for use in either Apple Mail or Entourage?
