Have you tried deleting the file from safe mode? Make sure you are logged in with an admin account or on with admin pri. You can try that first; if it does not work, then boot into the recovery console and you will be able to delete it from there.

I had a similar issue a couple of days ago; tried deleting, nope, tried renaming then deleting, nope, safe mode, nope, reboot, nope....what finally worked was, in Windows Explorer, physically dragging and dropping it into the recycle bin...

don't ask me why, but it worked....

Use your xp / win2k cd to boot with. The first menu is repair or install; choose repair. This will be the Recovery Console; note you will need the admin password to access your xp install. If you did not install the os, most likely the password field can be left blank.
