CPU overheating

what range do u guys consider overheating? like tempature range C or F (for a 3.2 800 FSB hyperthreading CPU)

I would consider anything over 60 degrees C cause for alarm with that processor. The P4 slows when it detects overheating, so it is almost impossible to damage one from overheat. You would notice a slowing of the computer if it thought it was getting too hot. If it is running over 50C I would check the seating, paste application and case cooling.
My P4-2.4gig runs in the in the mid 30's idling, and in the mid 40's under 100% load for an extended length of time. This is with the stock Intel heatsink. I think if it's over 40 idling, I'd be checking on cooling. Obviously, this depends on the ambient temperature of the room.
